Terms of Service

The terms governing our outbound marketing engagements and website use.

1. Agreement to Terms

By accessing arvani-media.com or engaging Arvani Media for services, you ("Client") agree to be bound by these Terms of Service. These terms apply to all website visitors, free lead claim recipients, and paying clients.

If you are entering into an engagement on behalf of a company, you represent that you have the authority to bind that company to these terms.

2. Services Overview

Arvani Media provides done-for-you outbound marketing services including:

Specific deliverables for each engagement are defined in the signed service agreement or proposal agreed upon prior to the start of services.

Use of AI and Automated Tools

Arvani Media uses artificial intelligence and machine learning tools as part of service delivery. This includes AI-powered reply classification to categorize prospect responses (interested, not interested, out of office, etc.), automated buying signal monitoring, AI-assisted prospect research, and automated campaign optimization. The use of AI tools does not eliminate human oversight — all significant decisions are reviewed by our team. By engaging Arvani Media, Client acknowledges and consents to the use of AI and automated tools in the delivery of services.

3. Engagement Structure & Commitment

Arvani Media's outbound engagements follow a structured 4-month model:

The 4-month minimum commitment exists because outbound systems require time to build, warm, and optimize before delivering consistent, predictable results. We do not offer shorter engagements because they do not produce the outcomes our clients expect.

After month 4, clients may elect to continue on a monthly maintenance plan, upgrade their plan, or conclude the engagement.

Contact volumes are approximate targets and may vary based on ICP availability, verification rates, and campaign performance. Arvani Media does not guarantee specific reply rates, meeting counts, or revenue outcomes.

5. Payment Terms

6. Cancellation Policy

Clients who engage Arvani Media agree to the full 4-month commitment period. Early termination prior to the end of month 4 does not relieve the Client of payment obligations for the remaining months in the committed term, except where Arvani Media has materially failed to deliver the agreed services.

To cancel after the commitment period, written notice must be provided at least 15 days before the next billing cycle.

7. Client Responsibilities

To enable Arvani Media to deliver services effectively, clients agree to:

Delays caused by Client non-responsiveness do not extend the billing period or reduce payment obligations.

7a. Acceptable Use & Data Compliance

Client agrees that lead data and campaign deliverables provided by Arvani Media will only be used for lawful outbound marketing purposes consistent with applicable law. Specifically, Client agrees to:

Arvani Media is not responsible for Client's downstream use of lead data. Client assumes full legal responsibility for their outreach practices and indemnifies Arvani Media against any claims arising from Client's non-compliance with applicable law.

8. Intellectual Property

Client-Owned Materials

All lead lists sourced specifically for the Client, approved campaign copy, and final deliverables created under a paid engagement become the property of the Client upon full payment.

Arvani Media-Owned Materials

Arvani Media retains ownership of its systems, methodologies, templates, playbooks, software configurations, and infrastructure. The Client receives a license to use deliverables; they do not receive rights to Arvani Media's underlying systems or processes.

9. Confidentiality

Both parties agree to keep the other party's non-public business information confidential and not to disclose it to third parties without prior written consent. This obligation survives the termination of any engagement.

10. No Guarantee of Results

Cold email and outbound marketing involve inherent variability. Reply rates, meeting bookings, and revenue outcomes depend on factors including but not limited to: the Client's offer, pricing, market conditions, and sales team follow-through. Arvani Media does not guarantee specific results, reply rates, or revenue from any engagement.

We do commit to executing our deliverables with professional skill and care, following best practices for deliverability and targeting.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Arvani Media's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the Client in the 3 months preceding the claim. Arvani Media shall not be liable for any indirect, incidental, consequential, or punitive damages.

12. Indemnification

Client agrees to indemnify and hold Arvani Media harmless from any claims, damages, or expenses arising from: (a) Client's use of our deliverables in violation of applicable law; (b) inaccurate information provided by the Client; or (c) Client's own sales practices or customer communications.

13. Dispute Resolution

Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute. If negotiation fails, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator before pursuing litigation.

If mediation does not resolve the dispute, either party may pursue legal remedies in the state or federal courts located in the Commonwealth of Massachusetts. Both parties consent to personal jurisdiction in Massachusetts for purposes of any legal proceedings arising under these terms.

These Terms of Service are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Electronic Acceptance

By using this website, submitting a contact or lead form, booking a call, or entering into a paid engagement with Arvani Media, Client agrees to be legally bound by these Terms of Service. Electronic acceptance (clicking "I agree," submitting a form, or paying an invoice) constitutes a valid, binding signature to the same extent as a handwritten signature under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state electronic signature laws.

Client consents to receiving electronic communications from Arvani Media at the email address provided. Important notices regarding Client's account, billing, and services may be delivered electronically.

15. Force Majeure

Arvani Media shall not be liable for any failure or delay in performing services caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, changes in law or regulation that materially affect our ability to deliver services (such as new email sending restrictions or data privacy regulations), third-party platform outages (email service providers, LinkedIn, data vendors), or government actions. In such events, we will notify the Client and work in good faith to resume services as quickly as practicable.

16. Governing Law

These Terms of Service are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any disputes shall be resolved in accordance with Section 13 above.

17. Changes to These Terms

Arvani Media reserves the right to update these Terms of Service at any time. Material changes will be communicated to active clients via email at least 14 days before taking effect. Changes will be posted to this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
